ARTICLE I – NAME

The name of the Association shall be “The Conway School Association, Inc.” and shall hereafter be referred to as the Association.


 

ARTICLE II – PURPOSES

The purposes and objectives of this Association shall be to foster quality education through cooperation with and support of the faculty and administration of Conway School, the Board of Education, and the Ladue School District Council, Inc.; and to promote and maintain effective communication between the faculty and parents of Conway School so that more complete understanding of child growth and development and the Educational Programs of Conway School will result.


 

ARTICLE III – MEMBERSHIP

The membership shall consist of the parents or persons in “loco parentis” of all children attending the Conway School the faculty of Conway School, and, upon notification to the secretary, and interested residents of the designated attendance area.


 

ARTICLE IV – MEETINGS

All meetings of the Association or of its Executive Committee shall be called by the President of the Association or by a majority of the Executive Committee of the Association. At least one meeting of the Executive Committee and at least one general meeting shall be held each year during the school term.


 

ARTICLE V – EXECUTIVE COMMITTEE

The Executive Committee of the Association shall consist of the officers of the Association, the elected representatives to the Ladue School District Council, Inc., and the Principal of the school. Membership of the committee may be expanded for any one year by a majority vote of the Executive Committee.


 

ARTICLE VI – OFFICERS AND REPRESENTATIVES

The offices of the Association shall consist of a presidency, a vice presidency, a secretary and a treasurer. The duties of the offices shall be those usually pertaining to the offices. The officers of the Association shall also serve as the directors of the Association.

The representatives of the Association to the Ladue School District Council, Inc., shall consist of the President of the Association and three members of the Association elected at large. In addition, the Executive Committee may appoint additional representatives at the request of the Ladue School District Council, Inc.


 

ARTICLE VII – ELECTION AND TERM OF OFFICE

The officers shall be elected annually from and by the members of the Association prior to May 1 and shall serve for one year. The term of office shall begin August 1 and end July 31 of the following year. Only Vice President, Secretary and Treasurer will be elected annually; the Vice President for the preceding year will automatically succeed the President. On or before the fifth day of May each year, the Secretary of the Association shall certify in writing to the Principal of Conway School the names and addresses of the representatives to the Ladue School District Council, Inc.

The elected representatives to the Ladue School District Council, Inc. shall be elected for a term of three years, one new representative to be elected each year. On or before the fifth day of May each year, the Secretary of the Association shall certify in writing to the Principal of Conway School the names and addresses of the representatives to the Ladue School District Council, Inc.

The President of the Association shall appoint the Nominating Committee. The Nominating Committee shall prepare a slate of one or more candidates for each office.


 

ARTICLE VIII – DUES

The annual dues shall be established by the Executive Committee of the Association by the thirtieth of September and shall be collected on a per family basis. Said dues shall be due and payable on or before the thirtieth day of October of each year. Only dues paying members shall have the privilege of voting.


 

ARTICLE IX – PROCEDURE

Roberts’ Rules of Order shall govern the procedure of all meetings.


 

ARTICLE X – AMENDMENTS

These By-Laws may be amended by a two-thirds (2/3) vote of members voting at any regular or special meeting of the Association, provided that the proposed amendment shall have been stated in the written notice of such meeting and that it does not conflict with the By-Laws of the Ladue School District Council, Inc.
